CONSTITUTION OF THE NORTHEAST DIVISION
United States Lawn Bowls Association
Approved August 5. 2007
Article 1 Membership and Purpose
A. Name This organization is known as the Northeast Division, United States Lawn Bowls Association.
B. Membership This organization is comprised of lawn bowling clubs within the geographical territory as defined in the Constitution of the USLBA. To be eligible for Division membership, a club must be organized with elected officers and its acting members shall be dues paying USLBA members.
Application for membership in the Division must be made in writing to the Division Secretary. The Division Board of Directors has authority to approve or reject any application for membership.
C. Purpose The purposes of the Division include:
Promote lawn bowling
Safeguard the rules and conditions controlling the game
Encourage games between member clubs
Hold tournaments, including the Annual Open
Serve as host for tournaments of USLBA and World Bowling Board (WBB)
Abide by the regulations of USLBA and WBB
Article 2 Delegates Meeting
A. Meeting Annually a Delegates meeting will be held at a time and place established by the Board of Directors. The meeting notice and agenda will be sent to each member club at least 30 days prior to the date of the meeting. At this meeting, the Delegates receive reports from Division officers about the affairs of the Division; elect all officers and Board members for the Division; and consider proposals for amending the Constitution.
B. Delegates Each member club is entitled to one vote to be cast on behalf of the club, either by the Delegate or an Alternate. Each club shall notify the Division Secretary of the name of the club’s Delegate and Alternate at least seven days prior to the Delegates meeting. Clubs which have not paid their dues are not eligible to vote at the annual Delegates meeting.
Article 3 Governance
A. Board of Directors The Division is governed by a Board of Directors of at least eight and not more than 12 members. The Board includes a President, Vice President, Treasurer, and Secretary. All Board members and officers are elected at the Delegates meeting for a term of one year, except the President who is elected for a term of two years. All newly elected officers and Board members take office on the Monday following the completion of the Division Open tournament. All living past Presidents are ex-officio non-voting members of the Board.
B. Powers The Board of Directors has general charge of Division affairs, except for elections and amending the Constitution. It meets at the call of the President, or any three members. It may fill any vacancy on the Board until the next election. The Board annually appoints two Division members to represent the Division on the USLBA Council. The President and Vice President are ex-officio
members of all Division committees. At Board meetings, a majority of the voting membership constitutes a quorum. Except where superseded by this Constitution, Robert’s Rules of Order shall apply to all meetings.
C. Nominating Committee The Nominating Committee, which is appointed by the President after conferring with the Vice President, is chaired by the Vice President and consists of at least three members. It recommends nominees for the Board of Directors, and for President (every second year), Vice President, Treasurer, and Secretary. When elections are held at the Delegates meeting, a nomination may be made from the floor provided the nominee has agreed to serve.
Article 4 Officers
A. President The President has general administrative powers; sees that Board directives are implemented; plans and presides at the meetings of Delegates and the Board. The President is authorized to transact the financial matters of the Division in the absence of the Treasurer.
B. Vice President The Vice President chairs the Nominating Committee, and has the powers of the President, excluding the financial powers, in the absence of the President.
C. Secretary The Secretary takes the minutes at meetings; maintains the minutes, papers, and correspondence of the Division; and sends notices and tournament schedule to member clubs. The Secretary is eligible for an honorarium.
D. Treasurer The Treasurer keeps an account of Division revenues and expenditures; pays bills as appropriate; maintains accounts according to Board policy; and prepares an annual budget for approval by the Board. The Treasurer is eligible for an honorarium.
Article 5 Dues and Fiscal Year
The Board establishes dues amounts as necessary. The fiscal year of the Division is January 1 through December 31.
Article 6. Amendments
This Constitution may be amended by a majority vote of the Delegates at the annual meeting. All proposed Constitutional amendments must be submitted to writing to the Secretary at least 60 days before the meeting, and must be distributed to the clubs at least 30 days before the meeting.
